Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SecureDib's IT services, CMMC compliance services, website, and related offerings ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

Important Notice

These Terms constitute a legal agreement. Please read them carefully. If you disagree with any part, you may not access our Services.

1. Service Definitions

1.1

IT Management Services

Includes cloud management, network services, security services, and technical support as defined in individual service agreements.

1.2

CMMC Compliance Services

Includes readiness assessments, gap analysis, implementation support, and compliance monitoring for CMMC Level 1-2 requirements.

1.3

Consultation Services

Includes IT assessments, strategic planning, and advisory services as specified in engagement letters.

2. Service Delivery & Responsibilities

Our Responsibilities

Provide Services as described in service agreements
Maintain professional standards and certifications
Communicate service changes and updates
Protect client data and maintain confidentiality
Provide timely support and maintenance

Client Responsibilities

Provide necessary access to systems and information
Designate authorized personnel for communications
Maintain necessary hardware and software licenses
Follow security recommendations and policies
Timely payment for services rendered

3. Fees and Payment Terms

3.1

Service Fees

Fees are specified in individual service agreements and may include monthly retainers, project-based fees, or hourly rates.

3.2

Payment Terms

Invoices are due within 30 days of receipt
Late payments may incur interest at 1.5% per month
Service may be suspended for payments overdue by 60+ days

3.3

Expenses

Reasonable out-of-pocket expenses (travel, software, third-party services) will be billed separately with prior approval.

4. Intellectual Property

Our Property

Methodologies, tools, templates, and proprietary frameworks remain our property

Client Property

Your data, systems, and pre-existing intellectual property remain your property

Work products created specifically for you (reports, configurations, policies) are delivered to you upon full payment, subject to underlying IP rights in our tools and methodologies.

5. Confidentiality

Confidential Information Protection

Both parties agree to protect confidential information received during service delivery. This includes business information, technical data, system configurations, and security information. Confidentiality obligations continue for 3 years after service termination.

CMMC Considerations: For defense contractors, additional confidentiality and security requirements apply as specified in service agreements and in compliance with CMMC requirements.

6. Liability and Warranty

6.1

Service Warranty

Services are provided "as is" and "as available." We warrant that services will be performed with professional diligence and in accordance with industry standards.

6.2

Limitation of Liability

Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim in the 12 months preceding the claim.

6.3

Exclusions

We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss, except where prohibited by law.

7. Termination

For Convenience

Either party may terminate with 30 days written notice

For Cause

Immediate termination for material breach

Post-Termination

Return of materials and data transfer assistance

Governing Law

Laws of the State of Virginia, USA

Dispute Resolution

Mediation before litigation

Amendments

Written agreement required for changes
